SPAR® Methodology Licensing Agreement — Online Terms & Conditions

Licensor: Dunlop Media Inc., 405 Lexington Avenue, 26th Floor, New York, NY 10174 Licensee: [Licensee Name] (to be entered)
1. License Grant
You (“Licensee”) receive a non-exclusive, non-transferable, 12-month license to use the SPAR® communications methodology (“Materials”) solely for your personal use or that of your team members approved by us.
Approved uses include:
• Access to proprietary tools, slide deck, and instructional videos (depending on the level of access purchased)
• Internal review and refreshers, either individually or with approved team members
• Practice and preparation for live coaching sessions with Dunlop Media Inc, either in-person or remotely
Prohibited uses include:
• Sub-licensing, resale, modification, rebranding, or use beyond the defined scope (e.g., webinars, books, external curriculum).
2. Ownership
All intellectual property rights remain with Dunlop Media Inc. You may not claim ownership of or alter the Materials. Trademarked elements must be credited as specified.
3. Term and Termination
The licensed Materials will be made available to you and your approved team members as an online, view-only, 12-month subscription. The license is valid for 12 months from the effective date. Breach or unauthorized use may lead to immediate termination. Upon termination, you must cease use and destroy all copies of Materials.
4. Fees and Payment
You agree to pay the annual license fee specified at the time of purchase. Late payments may result in suspension or termination of your license.
5. Marketing and Attribution
You must include this credit in all internal use: “The SPAR® methodology used herein is the copyrighted intellectual property of Dunlop Media Inc. Used with permission.” Use of Licensor’s logos or trademarks requires prior written approval.
6. Confidentiality
You agree to keep all proprietary Materials confidential and not to share, reverse-engineer, or benchmark competitively.
7. Warranties and Disclaimers
Materials are provided “as is” without warranty. Licensor does not guarantee training outcomes. You are responsible for ensuring all delivery complies with applicable laws and ethical standards.
8. Indemnity
You agree to indemnify and hold harmless Dunlop Media Inc. from any claims arising from your use of the Methodology.
9. Dispute Resolution
Disputes will be resolved first by mediation, then by binding arbitration in New York under AAA Commercial Arbitration Rules.
10. Entire Agreement
This agreement represents the entire understanding between parties and supersedes prior agreements.
